Terms of service
Last updated: 3 November 2026
In these Terms, when we say you or your, we mean both you and any entity you are authorised to represent (such as your business). When we say we, us or our, we mean Nexus Services & Products Pty Ltd (ABN 20 633 477 899), providing the Nexus Numbers service, of Perth, Western Australia. We and you are each a Party to these Terms, and together, the Parties.
These Terms form our contract with you, and set out our obligations as a service provider and your obligations as a customer. You cannot use our Services unless you agree to these Terms. You accept these Terms when you start a free trial, sign up for a Package, connect your accounts to us, or make a payment to us, whichever happens first (the Commencement Date).
Some capitalised words in these Terms have defined meanings, listed in clause 14. For questions about these Terms, or to get in touch with us, please email hello@nexuswebcare.com.
Our disclosures
Please read these Terms carefully before you accept. We draw your attention to:
- our Privacy Policy, which sets out how we handle your personal information, including processing by automated and AI systems;
- clause 3 (What we don’t do), which explains that we don’t prepare or lodge BAS or tax returns and don’t give tax, legal or financial product advice;
- clause 4 (On-time promise), including when the promise does not apply;
- clause 5 (Your obligations), including that you must check every invoice before you approve it;
- clause 8 (Price and payment) and clause 11 (Ending your Package); and
- clause 10 (Liability), which sets out exclusions and limitations to our liability under these Terms.
These Terms do not intend to limit your rights and remedies at Law, including any of your Consumer Law Rights.
1. Engagement and Term
These Terms apply from the Commencement Date until your Package ends in accordance with clause 11 (Term).
2. Services
- In consideration of your payment of the Price, we will provide the bookkeeping and admin services included in the Package you choose (Starter, Plus or Pro), as described on our website at the time you sign up and confirmed in your signup summary (the Services), whether ourselves, through our Personnel, or through automated and AI systems we operate (bots).
- Depending on your Package, the Services may include: asking you about jobs over WhatsApp, Slack, text/SMS or another chat app you already use (as we agree), drafting invoices for your approval, sending invoices you approve from your own accounting software, chasing payments, logging receipts and expenses, reconciling bank feeds in your accounting software, a weekly plain-English numbers report, set-aside budgeting based on what you paid before, checking employees’ and subcontractors’ invoices and timesheets, reminders, and connecting to your CRM or job schedule where possible.
- Your accounting software. We work in the accounting software you choose (such as Xero, MYOB, QuickBooks, Reckon or others). If you don’t have one, we can help you set one up. The subscription is with the software provider, in your name and at your cost, and is separate from our Price.
- Set-aside budgets are estimates based on payments you made before (such as past ATO, payroll and super payments). They are a budgeting aid only. They are not a calculation of any tax, GST, PAYG, payroll or super liability and may differ from what you actually owe.
- Staff and subcontractor checks. On Packages that include it, we check timesheets and invoices from your employees and subcontractors and raise any issues with you (the business owner) only. We never contact your staff or subcontractors about those issues. Decisions about paying or dealing with them are yours.
- Features in progress. Your client dashboard is still being developed, and learning tools are coming soon. Until they are available, they are not part of the Services, and when available they may change.
- Integrations with your CRM, job app or calendar depend on those products and are provided where possible. We do not promise particular business results, cash flow or payment times from your customers.
3. What we don’t do
- We do not prepare or lodge Business Activity Statements (BAS), instalment activity statements or tax returns, and we do not deal with the ATO on your behalf.
- We do not give tax advice, legal advice or financial product advice, and nothing in our reports, dashboard, budgets or chat messages is such advice. We explain what is already recorded in your books in plain English.
- You remain responsible for your own tax, GST, payroll, super and other legal obligations. We recommend you use a registered tax agent or BAS agent for your BAS and tax returns, and for advice about your tax position. If you ask, we can share your books with your agent.
4. Free trial and on-time promise
- 14-day free trial. You can try any Package free for 14 days, with no card needed. If you don’t choose to continue at the end of the trial, the Services stop and you owe nothing. We will ask you before any billing starts.
- On-time promise. Once you confirm a job and approve its invoice, we will send it from your accounting software within one Business Day. If we miss this for an approved invoice through our own fault, that week’s Package fee is free: we credit one week’s fee against your next bill.
- The promise applies only once you are a paying client (not during the free trial), and gives at most one free week per billing week.
- It does not apply where the delay is caused by you (for example, missing or incorrect details, a late or unclear approval, or a request to hold the invoice), by your accounting software, bank or chat app (for example, an expired or revoked connection), or by outages or other events outside our reasonable control.
- This promise is in addition to, and does not limit, your Consumer Law Rights.
5. Your obligations
You agree to (and to the extent applicable, ensure that your Personnel agree to):
- comply with these Terms, all applicable Laws, and our reasonable requests;
- give us accurate job, customer and business information and the access, approvals and cooperation reasonably needed for us to provide the Services, in a timely way;
- check every draft invoice before you approve it. Once you approve an invoice, you are responsible for its contents (including prices, GST and customer details);
- review your reports and books, and tell us promptly if anything looks wrong;
- only share personal information about your staff, subcontractors and customers that you are authorised to share, and give them any notice the Law requires. You warrant that you are authorised to share it with us for the Services;
- make sure invoices and payment reminders sent on your instruction go only to your own customers about genuine amounts owed. We don’t send marketing messages to your customers, and you must not ask us to send unsolicited commercial messages; and
- keep your accounting software subscription and connections active.
You agree to pay our additional costs reasonably incurred as a result of you failing to comply with this clause 5.
6. Your data and accounts
- You remain the owner of your accounting software, bank and chat accounts and of all your business data (Your Data). We do not take ownership of any of it.
- You grant us a non-exclusive licence to access, use, copy and process Your Data (including through automated and AI systems) only to provide the Services and as described in our Privacy Policy.
- You can revoke our access at any time (for example, by disconnecting our app in your accounting software). If you do, we may not be able to provide the Services.
- Our templates, systems, software and the know-how we use to provide the Services remain ours.
7. Third-party products
The Services rely on third-party products, including your accounting software, bank feeds, chat apps (such as WhatsApp, Slack and SMS), and our hosting, payment and AI providers. Your use of those products is subject to their own terms. We are not responsible for their availability, changes, errors or outages, and we may need to change or stop part of the Services if a provider changes its terms or access.
8. Price and payment
- The Price for each Package is as shown on our website when you sign up: Starter A$50 a week, Plus A$80 a week and Pro A$149 a week. All prices are in Australian dollars and include GST. “GST” has the meaning given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth). We will issue tax invoices.
- Weekly billing. After your free trial, if you choose to continue, Packages are billed weekly in advance through our payment provider, Stripe. You authorise us to charge your nominated payment method each week until your Package ends. There is no lock-in, setup fee or cancellation fee.
- Any on-time promise credit (clause 4) comes off your next bill.
- Failed payments. If a payment fails, we (or Stripe) will retry it and notify you. If any amount remains unpaid 5 Business Days after its due date, we may pause the Services after giving you at least 48 hours’ further notice, and recover the unpaid amount as a debt due. We will restart the Services once overdue amounts are paid.
- We may change our prices by giving you at least 30 days’ notice. A change takes effect from your next billing week after the notice period, and you may cancel before it takes effect.
9. Confidential information
- Each Party must (and must ensure that its Personnel) keep confidential, and not use (except to perform its obligations under these Terms) or permit any unauthorised use of, information provided by the other Party, including logins, Your Data and information about the other Party’s business and operations.
- This does not apply where disclosure is required by Law, is to a professional adviser to obtain advice about these Terms (provided the adviser keeps it confidential), or is to our service providers as described in our Privacy Policy.
- This clause 9 survives the end of these Terms.
10. Australian Consumer Law and liability
- Certain legislation, including the Australian Consumer Law, may give you rights, warranties, guarantees and remedies relating to the supply of the Services which cannot be excluded, restricted or modified (Consumer Law Rights). Nothing in these Terms excludes those Consumer Law Rights. Subject to them, we provide the Services without conditions or warranties of any kind, except where expressly set out in these Terms.
Despite anything to the contrary but subject to your Consumer Law Rights, to the maximum extent permitted by Law:
- neither Party will be liable for Consequential Loss;
- a Party’s liability will be reduced proportionately to the extent the relevant Liability was caused or contributed to by the other Party (or its Personnel), including errors in invoices or information you approved or gave us, and any failure to mitigate loss;
- we are not liable for any tax, GST, penalty, interest or other amount you owe to the ATO or any other authority, or for decisions you make based on our reports or budgets;
- where our Services are not ordinarily acquired for personal, domestic or household use, our liability for any failure to comply with your Consumer Law Rights is limited (at our discretion) to supplying the Services again or paying the cost of having them supplied again; and
- our aggregate liability arising from or in connection with these Terms is limited to the Price you paid us for the Services in the 12 months before the event giving rise to the Liability.
This limit does not apply to Liability caused by our fraud or wilful misconduct. You indemnify us against Liability arising from your breach of clause 5 (including sharing personal information you weren’t authorised to share), except to the extent it is caused by us. This clause 10 survives the end of these Terms.
11. Ending your Package
- Cancel anytime. You may cancel at any time by telling us in the chat or emailing hello@nexuswebcare.com. There is no lock-in and no cancellation fee. Cancellation takes effect at the end of the week you have already paid for, and the Services continue until then.
- Refunds. Subject to your Consumer Law Rights, weekly fees already paid are not refunded for part-weeks. If we have charged you in error, or you are entitled to a remedy under the Australian Consumer Law, we will refund you.
- Termination by us. We may end these Terms by giving you at least 14 days’ notice. Either Party may end these Terms immediately by written notice if the other Party breaches a material term and the breach is not remedied within 10 Business Days of being notified, or the other Party becomes bankrupt, insolvent or unable to pay its debts as they fall due.
- On termination: we stop the Services and disconnect from your accounts; you must pay amounts due up to the end date; and within 30 days we delete Your Data and chat content we hold, or return it to you if you ask before then, unless the Law requires us to keep it. Your records in your own accounting software stay with you. We keep our own billing records as described in our Privacy Policy.
- Ending these Terms does not affect rights or liabilities a Party has already accrued. This clause 11 survives the end of these Terms.
12. Privacy and spam
We handle personal information in accordance with our Privacy Policy, the Privacy Act 1988 (Cth) and the Australian Privacy Principles. We do not send unsolicited commercial messages. Invoices and payment reminders are sent at your instruction to your own customers.
13. General
- Amendment: We may update these Terms by giving you at least 30 days’ notice by email or in the chat. If you don’t agree to the change, you may cancel before it takes effect.
- Assignment: A Party must not assign or novate its rights or obligations under these Terms without the other Party’s prior written consent (not to be unreasonably withheld), except that we may assign any debt you owe us to a debt collector or other third party.
- Disputes: A Party may not start court proceedings about any dispute arising from or in connection with these Terms (Dispute) without first meeting (in person or online) a representative of the other Party within 10 Business Days of notifying the other Party of the Dispute. If the Dispute is not resolved at that meeting, either Party may refer it to mediation administered by the Australian Disputes Centre.
- Force Majeure: Neither Party is liable for any delay or failure to perform its obligations (other than payment) caused by a Force Majeure Event, provided it promptly notifies the other Party and uses reasonable endeavours to minimise the effects.
- Governing Law: These Terms are governed by the laws of Western Australia. Each Party irrevocably submits to the exclusive jurisdiction of the courts of Western Australia and courts entitled to hear appeals from them.
- Notices: Notices under these Terms must be in writing and may be sent by email, to us at hello@nexuswebcare.com and to you at the email address you gave us, or in our chat. An email notice is served at the time of transmission.
- Relationship of Parties: These Terms do not create a partnership, joint venture, employment or agency relationship, except that we act on your instruction when we send invoices and reminders to your customers.
- Subcontracting: We may use subcontractors and third-party providers to provide parts of the Services. We remain responsible for our subcontractors’ acts and omissions under these Terms.
